This Terms of Sale and Website Use Agreement (“Agreement”) governs your use of https://solarayeurope.com (the “Site”) and your purchase of products through the Site.
Products purchased through the Site are sold by Healthway INT LTD (formerly NU U NUTRITION LTD) trading as Solaray, a company incorporated in England and Whales under company or registration number 08855609, whose registered office is at Unit 1 Platinum Road, Manchester, United Kingdom, M41 7LJ (“Seller,” “we,” “us,” or “our”). Your contract for the purchase of products through the Site is with the Seller.

The Site and the Solaray brand are owned and supported by Nutraceutical Corporation, doing business as Better Being Co., a Utah corporation with its principal office at 222 S. Main St., Suite 1600, Salt Lake City, UT, USA. Nutraceutical Corporation and other affiliated companies may provide website administration, technology, brand management, fulfilment, customer service, analytics, or other support services. Unless expressly identified as the seller during checkout, Nutraceutical Corporation and its other affiliated companies are not parties to your contract for the purchase of products.

PLEASE READ THESE TERMS CAREFULLY.

By accessing or using the Site, you agree to be legally bound by this Agreement. If you do not agree to these terms, please do not use this Site.

We reserve the right to update or modify this Agreement at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised terms.

1. INFORMATIONAL PURPOSES ONLY – NO MEDICAL ADVICE

The health, wellness, product, and other content made available through the Site is provided for general informational and educational purposes only. It is not intended as a substitute for professional medical advice or to replace advice, diagnosis, or treatment from a qualified healthcare professional.

Always consult an appropriately qualified healthcare professional before starting any supplement program, if you have questions about a medical condition, are pregnant or breastfeeding, are taking medication, or are considering whether a product is appropriate for you. You should not disregard professional medical advice or delay seeking it because of information available through the Site.

Products must be used in accordance with their labels, warnings, and instructions. In the event of a medical emergency, contact the appropriate emergency services immediately.

Nothing in this section excludes or limits our legal obligations concerning product safety, product descriptions, labeling, conformity, defective products, or any other rights that cannot lawfully be excluded.

2. INTELLECTUAL PROPERTY RIGHTS
The Site and its content, including text, images, graphics, logos, trademarks, audio, video, software, and digital materials (collectively “Materials”), are owned by or licensed to the Seller, Nutraceutical Corporation, or their respective licensors and are protected by applicable intellectual-property laws.
You may access, view, download, and print Materials for your personal and noncommercial use. You must not reproduce, distribute, modify, publicly display, commercially exploit, or create derivative works from the Materials without prior written permission from the applicable rights holder, except to the extent such use is permitted by applicable law.
Nothing in these terms transfers any intellectual-property rights to you. Any rights not expressly granted are reserved.

3. USER CONDUCT AND PROHIBITED ACTIVITIES

By using the Site, you agree not to:

  • Access or use the Site for fraudulent, abusive, or unlawful purposes;
  • Attempt to gain unauthorized access to systems or accounts not belonging to you;
  • Introduce viruses, worms, or other malicious software;
  • Reverse engineer, decompile, or disassemble any part of the Site;
  • Use any automated system (e.g., bots, scrapers) to extract data without prior written permission;
  • Impersonate another person or provide false or misleading information;
  • Use the Site in a manner that infringes another person’s rights; or
  • Interfere with or disrupt the Site or any server or network supporting the Site; 
  • Use the Site in a way that could impair its operation or accessibility to others.

We may take reasonable and proportionate action in response to a violation, including restricting or suspending access to the Site. Where reasonably practicable and appropriate, we will provide notice and an opportunity to correct the violation.

4. ACCOUNTS, PASSWORDS, AND SECURITY

If the Site requires registration or account creation, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other security breach. Seller is not liable for losses resulting from unauthorized access to your account.

We may suspend or restrict an account where we reasonably believe this is necessary to protect you, other customers, or the security of the Site. We will restore access when the reason for the restriction has been resolved, where reasonably practicable.

5. COMMERCIAL TRANSACTIONS

You are encouraged to familiarise yourself with your rights contained within the Consumer Rights Act 2015.

If you wish to purchase any product or service made available through the Site, you may be asked to supply certain information relevant to your purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any purchase; and that (ii) the information you supply to us is true, correct and complete. You expressly agree that Seller is not responsible for any loss or damage arising from the submission of false or inaccurate information.

By submitting such information, you authorize us and our payment-service providers to charge the total amount displayed at checkout.

Payment information may be processed by third-party payment-service providers in accordance with their applicable terms and privacy notices. We remain responsible for our obligations concerning your order and statutory refund rights.

We reserve the right to limit, refuse or cancel your order at any time for certain reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. You expressly agree that Seller cannot accept any liability for loss or damage arising out of such limit or cancellation.

We reserve the right to refuse or cancel your order if fraud or an unauthorised or illegal transaction is suspected.

Product prices include applicable VAT unless otherwise clearly stated. Delivery charges and any other mandatory charges will be disclosed before you submit your order and will be included in the total amount payable. You are responsible for any taxes, fees, or shipping costs associated with your order. All sales are subject to our return and refund policies, as stated on the Site.

You will not be responsible for additional import duties, customs charges, or taxes unless the possibility and basis of those charges were clearly disclosed before you placed your order.

6. DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETTER BEING CO. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

7. LIMITATION OF LIABILITY

In no event shall Seller or Nutraceutical Corp. nor their directors, employees, partners, agents, suppliers, or parents, subsidiaries, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, exemplary loss or damage, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; (iii) any content obtained from the Site; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. THIRD-PARTY LINKS

The Site may include links to third-party websites. These links are provided solely as a convenience. We do not control and are not responsible for the content, products, or practices of any linked sites. Inclusion of any link does not imply endorsement by Seller or Nutraceutical Corp.

9. CUSTOMER REVIEWS

By entering a customer review through the Review service for any of our products You grant Seller a non-exclusive, royalty free worldwide license to use any of your written reviews in relation to its marketing and/or in its advertising, including without limitation, in the online store, in newsletters, catalogues, email and other customer communications, store materials and other marketing or advertising purposes.

Further You grant Seller permission to view and edit the reviews before they are published. We will only publish comments that contain relevant information about a product. This includes but is not limited to, Seller will not publish generally inappropriate comments, comments that make unsubstantiated medical claims for products, indecent or inappropriate language or personally identifiable information. We reserve the right to remove any customer review at any time.

You hereby release and discharge Seller from all and any obligation to pay you for any use of your texts and any of the copy property rights contained therein in connection with the uses described above; and You hereby release, discharge and agree to hold Seller and any person acting on Seller’s behalf harmless from all claims, demands, and liabilities whatsoever in connection with use of the customer reviews as described above. We reserve the right to amend these terms from time to time without prior notice.

10. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of England and Whales, without regard to conflict of law principles. Any disputes arising under or relating to this Agreement or your use of the Site shall be subject to the exclusive jurisdiction of the courts located in London, United Kingdom.

11. WAIVER/SEVERABILITY

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.  If any part of this Agreement is found to be unlawful, void, or unenforceable, that part shall be severed, and the remaining provisions shall remain in full force and effect.

12. CHANGES 

We can always change a product:

  • to reflect changes in relevant laws and regulatory requirements; and
  • to make minor technical adjustments and improvements. These are changes that don't affect your use of the product.

If we make any material changes to these terms, we will notify you by email [at least 7 days before the changes take effect] and you can then contact our Customer Service Team at customerservice@solarayeurope.com to end the contract before the change takes effect and receive a refund for any products you've paid for, but not received and for your subscription to cease before the change takes effect. By continuing to use this Site, or placing further orders or continuing your subscription after notice has expired after the new terms become effective, you will be deemed to have accepted the new terms.

13. PRODUCT INFORMATION

We take reasonable care to ensure that product descriptions, images, ingredients, quantities, and other information are accurate. Product packaging, color, or appearance may vary slightly from images displayed on the Site, including where packaging is updated, provided that such variations do not materially alter the product ordered.

Product formulations and availability may change from time to time. You should review the label, ingredient list, directions, warnings, and other information accompanying the product before use and should not rely solely on information displayed on the Site.

We will not substitute a materially different product without your agreement.

12. PRIVACY POLICY AND COOKIE POLICY

We process personal data in accordance with our Privacy Policy and use cookies and similar technologies as described in our Cookie Policy. You agree that they constitute part of these terms. You must read our Privacy Policy and Cookies Policy before you use the Service.

Nothing in these terms constitutes consent to processing where consent is required under applicable data-protection or electronic-communications law.
